Owned contracting progression beginning with evaluation of initial request from the Company business rep. through draft of initial submission or review counterparty paper, to multiple rounds of redlines of Counterparty language and proposal and drafting of alternate language, to direct negotiation rounds, through submission and signature of agreed final draft through Docusign. Obtained familiarity of various chemical and pharmaceutical manufacturing and production processes through meetings with business stakeholders to determine goals and perceived issues to be addressed. Evaluated and modified existing library templates to fit request or drafted new agreement per protocol to go to Counterparty. Upon return, evaluated Counterparty redlines and edits to ensure all Counterparty changes were in fact redlined, then approved and accepted proposed language that was in alignment with Company directives and synthesize alternate language for response using internal playbooks internal guidance of senior staff. Interpreted redlines to determine Counterparty goals, positions, motivations, priorities and hard stops to leverage Company position and resolve loggerheads. With each round, met with internal business rep. to determine progress and alignment. When necessary, escalated to subject matter experts by distilling issue, negotiation history, applicable rule and providing recommendation of whether situation warranted holding position or application of variance. All Agreements/Negotiations were in the purchase/supply/procurement/service arena using primarily Master Service Agreements, Service Agreements, Work Orders. Data Licensing Agreements, Purchase Agreements, Master Software License Agreements, Software License Agreements, Sponsorship Agreements, Laboratory Services Agreements, Master Laboratory Service Agreements, Study Agreements, and HEOR Agreements.
